• Synchronizing relevant billing or transaction information

The specific information available to Proscribe Legal depends on the permissions authorized through QuickBooks.

3. Authorization

By authorizing the Proscribe Legal QuickBooks integration, you represent that you have permission to connect the applicable QuickBooks company and permit the requested access.

You authorize Proscribe Legal to access and use applicable QuickBooks information solely as reasonably necessary to provide the connected functionality.

Authorization may be revoked through QuickBooks.

4. Invoice and Payment Information

Users are responsible for providing accurate information when identifying an invoice or submitting a payment.

Proscribe Legal relies on invoice numbers, customer details, and authorization data provided through the website or connected systems to identify records and facilitate transactions.

5. Payment Processing

Payment functionality may be processed through QuickBooks Payments, Intuit, or other third-party payment providers.

Users agree to comply with the terms and requirements established by the applicable payment processor.

Proscribe Legal is not responsible for errors, delays, or service interruptions caused by third-party payment processors or financial institutions.

6. No Transfer of QuickBooks Ownership

Connecting QuickBooks Online does not grant Proscribe Legal ownership of your accounting records or QuickBooks account.

Your company data remains subject to your agreement with Intuit.

7. Acceptable Use

You agree not to use the website, billing system, or QuickBooks integration to:

• Submit false, fraudulent, or unauthorized payment information
• Attempt to gain unauthorized access to any system, company file, invoice record, or customer data
• Interfere with the operation, security, or integrity of the website or integration
• Violate applicable accounting, billing, tax, or legal requirements

8. Availability

We make reasonable efforts to maintain the availability of our website and online invoice tools.

However, services may be interrupted by maintenance, network outages, Intuit service interruptions, or events outside our reasonable control.

We do not guarantee uninterrupted or error-free operation.

9. Accuracy of Information

Invoice amounts, descriptions, balances, and payment statuses displayed through the online tools reflect information retrieved from connected systems or provided by users.

If a customer believes there is an error in an invoice or balance, the customer should contact Proscribe Legal before submitting payment.

10. Intellectual Property

All website content, software, branding, and materials provided by Proscribe Legal remain the property of Proscribe Legal or its licensors and are protected by applicable intellectual property laws.

11. Third-Party Services

QuickBooks and Intuit are trademarks or registered trademarks of Intuit Inc.

Use of QuickBooks Online and QuickBooks Payments is subject to the terms and policies of Intuit Inc.

Proscribe Legal is not affiliated with Intuit other than as an authorized developer or API user where applicable.

12. Privacy

Information collected and processed through our services is handled according to the Proscribe Legal Privacy Policy. The Privacy Policy should be reviewed together with these Terms.

13. Disclaimer

The online invoice and payment functionality is provided to facilitate billing and payment administration. Nothing within the online payment system constitutes legal, accounting, tax, or financial advice.

Professional services provided by Proscribe Legal remain governed by any applicable engagement agreement or other written agreement between Proscribe Legal and the customer.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Proscribe Legal will not be liable for indirect, incidental, special, consequential, or punitive damages arising solely from the use or inability to use the website, QuickBooks integration, or online payment functionality.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

15. Termination and Disconnection

Proscribe Legal may discontinue or restrict access to the online services when reasonably necessary for security, maintenance, legal compliance, suspected misuse, or termination of the applicable business relationship.

An authorized QuickBooks administrator may also revoke the QuickBooks connection.

Following disconnection, the integration will no longer be able to retrieve new information using that authorization.

16. Changes to These Terms

We may update these Terms periodically to reflect changes to our services, integration functionality, third-party requirements, or applicable law.
